Abstract: The study aims to present the main rules and legal issues of the liability of executive officers of business companies in the system of civil law. Executive officers of business companies act in a complex and fragmented legal environment, in which they shall fulfil several legal requirements. Violation of these legal rules can have public, private, and increasingly, criminal law consequences. These legal consequences burden the company or directly the executive officer, depending on the content of the legal provisions. These public and criminal law consequences are of financial nature and they mostly can be formulated as fines, which can be overburdened to the executive officer in the form of damages, consequently the institution of civil liability shall be applied. The civil liability of executive officers of business companies also formulates a complex system in civil law, which raises several legal issues, which will be outlined in the study.
